Terms of Service

Please read these Terms of Service ("Terms") carefully before using Clippeak ("Service"), operated by Navitek ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Clippeak is an AI-powered video clip generation tool. It allows users to submit publicly available YouTube video URLs and automatically extract short highlight clips using AI analysis. Clippeak processes only publicly accessible video content and does not circumvent any digital rights management (DRM) or access restrictions.

Clippeak is intended for use cases such as personal review, commentary, education, and social media content creation in accordance with applicable copyright law and fair use doctrine.

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and that all information you provide is accurate and complete.

You are solely and entirely responsible for all content you submit to the Service and for any clips you generate. By submitting a YouTube URL, you represent and warrant that:

• You own the original video, OR
• You have obtained express permission from the copyright owner, OR
• Your intended use qualifies as fair use or falls within another lawful copyright exception under applicable law.

You agree not to use the Service to:

• Download or redistribute copyrighted content without the rights holder's permission
• Generate clips for commercial redistribution of third-party copyrighted material
• Circumvent any access controls, DRM, geo-restrictions, or authentication systems
• Violate YouTube's Terms of Service or Community Guidelines
• Harass, defame, or infringe the rights of any person or entity
• Engage in any unlawful activity or facilitate any illegal purpose
• Scrape, abuse, or overload the Service in an automated or unauthorized manner

We reserve the right to suspend or terminate accounts that violate these terms, with or without prior notice.

Clippeak is a neutral processing tool. We do not review, curate, or endorse any video content submitted to the Service. We have no knowledge of, and bear no responsibility for, the copyright status of any video you submit. If you submit a video owned by a third party without the necessary rights or permissions, all legal and financial consequences — including copyright infringement claims, takedown demands, and damages — are your sole responsibility. Navitek expressly disclaims any liability arising from the content of clips you generate, how you use or distribute those clips, or any third-party intellectual property rights implicated by your use of the Service.

Clippeak retrieves video content from YouTube. By using the Service, you acknowledge and agree that:

• You will comply with YouTube's Terms of Service
• YouTube's Terms of Service generally prohibit the download of content without express permission from YouTube or the content owner, unless a download feature is provided by YouTube itself
• You bear full responsibility for ensuring your use of the Service complies with YouTube's Terms of Service

Clippeak is not affiliated with, endorsed by, or sponsored by YouTube or Google LLC.

All software, design, trademarks, and content comprising the Clippeak platform are owned by Navitek and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the platform.

We claim no ownership over the clips you generate. You retain whatever rights you hold in the source material, subject to applicable third-party rights and law.

We respect the intellectual property rights of others and comply with the Digital Millennium Copyright Act (DMCA). If you believe content processed through our Service infringes your copyright, please refer to our DMCA & Copyright Policy.

We reserve the right to remove or disable access to any content upon receipt of a valid DMCA takedown notice, and to terminate accounts of repeat infringers.

Clippeak operates on a credit system. Credits are purchased or earned through subscription plans. The following applies:

• Credits are non-transferable and non-refundable once consumed by a processing job
• If a processing job fails entirely due to a Service error on our end, credits will be refunded to your account
• If you cancel a job before processing begins, a full credit refund is issued
• Subscription fees are billed in advance and are non-refundable except where required by law
• We reserve the right to change pricing with reasonable advance notice

All payments are processed by Mayar, a third-party payment provider. By making a payment, you also agree to Mayar's terms and policies.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or that results obtained through the Service will be accurate or reliable. Video processing depends on third-party services and infrastructure outside our control.

No Legal Advice. Nothing in these Terms, in any other documentation we provide, or anywhere on the Service constitutes legal advice. References to "fair use," copyright law, or YouTube's Terms of Service are provided for general informational purposes only. We make no representation that any particular use of the Service is lawful in any jurisdiction. If you are uncertain whether your intended use is permissible, consult a qualified legal professional.

TO THE FULLEST EXTENT PERMITTED BY LAW, NAVITEK AND ITS OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE 30 DAYS PRECEDING THE CLAIM.

WITHOUT LIMITING THE FOREGOING, NAVITEK EXPRESSLY DISCLAIMS ALL LIABILITY FOR:

• Any copyright infringement claim, takedown demand, lawsuit, or other legal action brought against you by a third party arising from clips you generated using the Service
• Any claim arising from your submission of a YouTube URL that you were not authorized to process
• Any damages or losses you suffer as a result of relying on the Service for any commercial, legal, or other purpose
• Any action taken or not taken by YouTube, Google LLC, or any other third-party platform with respect to content you process through our Service

You assume full and exclusive responsibility for any and all consequences arising from your use of the Service, including all copyright-related and legal consequences.

You agree to indemnify, defend, and hold harmless Navitek and its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your infringement of any third-party intellectual property or other rights
• Any content you generate, share, or distribute using the Service

We reserve the right to suspend or terminate your account at any time, for any reason, including violation of these Terms, with or without prior notice. Upon termination, your right to use the Service ceases immediately. Unused credits may be forfeited if termination is due to a violation of these Terms.

You may close your account at any time by contacting us at support@navitek.id.

These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to conflict of law provisions. Any disputes shall be resolved exclusively in the courts located in Indonesia.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date above and, where appropriate, by notifying you via email or a prominent notice on the Service. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy and DMCA & Copyright Policy, constitute the entire agreement between you and Navitek with respect to the Service and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
